We welcome and thank you for visiting www.flipmaestro.com (referred herein as “Site”, “we” or “us”). We are an E-commerce service dedicated to producing custom handmade portraits painted from photos or their compilation, restoration, or related products and services. By accessing the Site and/or by clicking to any “I agree” or “OK” button, you give consent and agree to enter into a legal agreement with The Strait Inc., a California General Stock Corporation, and have understood and agreed to comply with the following Terms and Conditions of Use.

If you do not agree to be bound by the FlipMaestro terms, please do not access the site or make any purchases.

Please note that these terms are subject to change and will be effective upon posting on the Site. Your continued access or use of the Site thereafter means your acceptance of any changes to the Terms and Conditions or any policy herein.

2.Acceptance of Terms

FlipMaestro is not structured to attract children under the age of 16 years. If you are under the age of 16, it is requested that you do not visit the Site. If monitored by an adult, you may visit the website if you are between 16 to 18 years of age. Kindly review these Terms & Conditions with a guardian before making use of the Site or accessing our products.

3.Customer Account

While accessing our Site and associated services, you may be required to create an account that will serve as a dashboard for your order information and process. By creating an account on our website, you agree to provide genuine and complete information as required by relevant site pages. If you choose to register, you will provide certain mandatory information and personal data which may be stored with us. You can read our Privacy Statement (Privacy Statement applicable to your region  for visitors from the European Economic Area, UK, and Switzerland, or Privacy Statement for visitors from the United States) and our Cookie Policy to understand how we use data.

You are solely responsible for any activity that happens in your account and must keep your password with utmost secrecy. By creating an account, you agree not to create an account for anyone else, use the account of another without their permission, or permit any use in your account by anyone else. You must contact us immediately in case of any breach of security or unauthorized login to your account. Between you and the Site, you are solely responsible for any activity in your account. If you wish to delete your account, please contact us via email at truefipmaestro@gmail.com.

If any information provided by you is unclear, untrue, or inaccurate, FlipMaestro reserves the right, without prejudice, to suspend or terminate your account and refuse you accessibility to the Site, including, but not limited to, sales resulting from the Site.

4.Third Party Services, Sources and Content

FlipMaestro may present or otherwise allow you to view, access, link to, or interact with third-party content and services that are not owned or controlled by us (e.g., payment processors like Stripe, shipping carriers like DHL/FedEx). We may also allow you to communicate with related third parties. The display or communication to you of such Third Party Content does not imply any sponsorship, endorsement, or affiliation between us and the Third Party. We are not responsible or liable for Third Party Content, or any third party’s terms of use, privacy policy, actions, omissions, or practices. You acknowledge that we make no warranties or representations, express or implied, as to the quality, accuracy, safety, lawfulness, or suitability of Third-Party Content.

5.User Consented Data (Your Photos)

FlipMaestro allows the uploading, sharing, and processing of content, primarily images (photos), provided by you (the user) in agreement to create your custom portrait. These are collectively called “User Consented Data”.

You represent and warrant that you own or have the necessary rights and permissions to use the photos you provide and authorize us to use them to create the derivative work (the painting) as contemplated by these Terms and Conditions. Intellectual Property Rights include copyrights, trade secrets, patents, trademarks, moral rights, rights of privacy, publicity, etc.. You retain all ownership rights to the original photos you submit. Any legal liability arising from copyright disputes related to the source photos you provide shall be borne solely by you.

With your additional relevant permission (e.g., opting-in during checkout or via email), we may request to use images of the finished painting, unboxing videos, or similar User Consented Data for marketing and promotional purposes on our website, social media, and advertising materials. By granting such permission, you confirm you have all necessary consents from individuals depicted, including parental/guardian consent for minors, as required by law. You are solely responsible for your User Consented Data and the consequences of uploading or publishing it.

You agree not to submit User Consented Data that: (1) is copyrighted or subject to third-party rights unless you own such rights; (2) promotes violence or is cruel; (3) displays nudity or illegal acts; (4) is unlawful, defamatory, obscene, hateful, or fraudulent; (5) creates safety risks; (6) impersonates others; (7) promotes illegal activities; (8) is deceptive; (9) violates laws; (10) contains third-party contact info without consent; or (11) breaches these Terms.

We reserve the right to access, read, preserve, and disclose any User Consented Data or other information as we reasonably believe necessary to: (1) satisfy applicable law or legal process; (2) enforce these Terms; (3) detect or prevent fraud or security issues; (4) respond to user support requests; or (5) protect the rights, property, or safety of FlipMaestro, our users, or the public.

6.Customer Purchases

The pricing of each product is displayed on the website and is subject to change based on selected options (size, medium, finishing, delivery service) when you place an order. You will be asked to confirm the full order price at the time your order is accepted. Prices shown do not typically include express shipping, framing, or other optional services unless explicitly selected by you during purchase.

To place and confirm an order, the user needs to pay an advance payment. The standard advance payment required is 20% of the full order value. We may offer a reduced advance payment of 15% if the customer explicitly agrees, at the time of order placement, to provide a video review of the finished product upon receipt. We will further contact you via your registered email address to take the approval of the online proofing of the customizations and the painting. Upon your approval, you will be requested to complete the order by making the final payment including charges that may be calculated in addition to the price of the Products depending on your chosen shipment and additional services requested. It is the user’s sole responsibility to make sure that a valid e-mail is submitted for contacting and is thoroughly responded to when received an email from the company. We might be unable to complete the order without additional information or confirmations to be provided by you after placing the order.

You can pay for products using debit or credit cards via our third-party payment provider (e.g., Stripe). Payments for products and applicable delivery charges are due in US Dollars. Any currency conversion costs are borne by you via your bank.

7.Guarantee and Return Policy

We offer the following guarantees and return options:

• Artwork Lost or Stolen:Should your artwork be lost or stolen during the delivery process, please notify us immediately. We will re-create the painting for you at no charge.
• Artwork Arrived Damaged:If your artwork is damaged upon receipt, please ensure you retain a photograph of the outer shipping box, along with clear photos of the damaged artwork. Upon verification, we will be happy to repaint the artwork for you entirely free of cost.
• Frame Damaged on Arrival:In the event of a damaged frame upon delivery, we will reimburse the full frame charges to your original payment source. Alternatively, you may opt to receive the amount as store credit to be applied as a discount on your subsequent order.
• Delay with Express Service:If you selected our Express Service and the artwork does not reach you within the committed 12-14 days, we will refund your Express Service charges to the original payment source. This refund can also be taken as store credit for future use.
• Did Not Approve the Artwork Preview?:If you are dissatisfied with the initial painting preview, you are entitled to request our free, unlimited revisions policy until you are happy. If, following revisions, you are still not satisfied, we will process a full refund for the painting.
• Not Satisfied with the Received Artwork:If you are not fully satisfied with the finished painting upon receipt, you may initiate a return within 7 daysof delivery. The returned painting must be in its original packaging and will undergo a quality inspection before the refund is processed. You can choose to have the amount refunded to your original payment account or held as store credit for your next purchase with us. (Optional: You may use the model withdrawal form, but it is not obligatory)
• 100% Handmade:All paintings are 100% handmade. You can confirm this upon arrival by smelling and checking the paint texture.
• No Questions Asked 100% Money Back Guarantee:Even if you have made full use of our unlimited revisions, but ultimately dislike the final painting or the initial design, you remain eligible to request our 100% Money Back Guarantee.

8.Additional Policies regarding Returns & Refunds

• FlipMaestro holds the sole discretion for stating whether a return request is valid or invalid.
• For all returns or replacements, the customer is responsible for returning the faulty painting within 7 daysof receiving it. The cost of returning the goods shall be borne by the customer.
• All returned items will be subject to our quality check. The refund or replacement will only be initiated after a successful inspection.
• If a customer initiates more than 2 return or refund requests within a 365-day period, we reserve the right to decline their 3rd and subsequent requests on the grounds of preventing fraudulent claims.
• Gift Cards are non-refundable and do not qualify for returns.
• The refund amount will reflect in the customer’s account within 5-7 Working Days after a successful quality check.
• You may also choose to receive your refund as store credit for your next purchase.

FlipMaestro reserves the right to refuse or cancel your order, in whole or in part, without liability, at our sole discretion, including for reasons related to errors, public interest, or Company values.

9.Code of Conduct; Site Ownership

The content on our Site, including text, images, descriptions, videos, (“Materials”), User Consented Data, and trademarks/logos (“Marks”), are our property or our licensors’ property and protected by copyright and intellectual property laws. All rights reserved. All other brands or names are property of their respective owners. You may not use the name FlipMaestro, https://flipmaestro.com, the FlipMaestro logo, or our Marks without our express prior written consent.

All Material and Marks are copyrighted under applicable law, including U.S. copyright laws. You may not use, modify, copy, distribute, etc., any Content (except your User Submissions) without our prior written approval, except as required for site access.

It is forbidden to restrict or inhibit other users from using our Site. You shall not: (1) copy or modify the Site without authorization; (2) misuse Content; (3) disrupt servers; (4) use automated systems (“robots,” “spiders”) to access the Site; (5) parse or copy source code; (6) interfere with security features; or (7) sell or license access to the Site for commercial purposes.

10.Limitation of Liability

To the fullest extent permissible by law, FlipMaestro (The Strait Inc.) will not accept liability for any direct, indirect, punitive, special, consequential, or incidental damages or losses (including loss of data, revenue, profits, or reputation) arising from these terms, your use of (or inability to use) our Site, or related to purchases from our Site, even if advised of the possibility of such damages. This limitation also applies to our licensors and service providers.

Notwithstanding other provisions, if we are found liable for any damage or loss connected with your use of the Site or Content, our liability shall in no event exceed the total fees paid by you to us for the specific order or service giving rise to the claim.

The limitations, exclusions, and disclaimers in this section apply to all claims, whether based in contract, warranty, strict liability, negligence, tort, or otherwise.

11.Other Rights

We may terminate or suspend your account and access to the Site, without prior notice, for conduct that we, in our sole discretion, believe violates applicable law or is harmful to other users, third parties, or us.

12.Termination of Terms

If you no longer agree to these Terms, you must stop using our Site and notify us in writing. You agree that termination of your access may occur without prior notice, and we may deactivate or delete your account and related information. We shall not be liable to you or any third party for termination of access.

13.Warranty Disclaimers

Our Site, services, and content are provided “as is” and “as available,” without warranties of any kind, express or implied. We disclaim all warranties, including merchantability, title, fitness for a particular purpose, and non-infringement. We make no representations regarding the usability, accuracy, quality, reliability, or effectiveness of the Site or services. We do not guarantee the Site will be free of bugs, security breaches, or virus attacks, or always available. We are not responsible for technical problems of the internet or servers. We do not endorse third-party content or services advertised on our site. We do not warrant or endorse user submissions and disclaim liability for them.

14.Applicable Law & Dispute Resolution

These Terms and Conditions and any disputes arising from your use of the Site or purchase of services shall be governed by and construed in accordance with the internal laws of the State of California, without regard to its conflict of law principles. You irrevocably agree that the courts located in Orange County, California shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. We are willing to participate in alternative dispute resolution procedures before a consumer arbitration board. 15.Indemnity

You agree to defend, indemnify, and hold harmless FlipMaestro (The Strait Inc.), its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorney’s fees) arising from: (1) your use of, or inability to use, the Site; (2) your User Submissions; or (3) your violation of these Terms.

16.ubmitted Feedback

We welcome comments regarding our products and Site. Please be specific in your feedback. Any comments, suggestions, ideas, etc. (“Feedback”) sent to us shall be deemed and remain our exclusive property. We are not liable for any use or disclosure of Feedback. We shall exclusively own all rights to the Feedback and may use it for any purpose without compensation to you.

17.Electronic Communication

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

18.Force Majeure

We shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

19.Updating of these Terms and Conditions

We reserve the right to modify these Terms at any time. We will provide written notice of any significant changes before they become effective. Your continued use of the Site after changes are posted constitutes acceptance.
